Varduno Terms of Service

Effective date: September 13, 2026

1. Agreement and operator

These Terms govern use of varduno.com, app.varduno.com, and Varduno's equipment-planning service. The service is provided by Carl Gunnar Daniel Thunberg, a sole proprietor carrying on business as Varduno, at 446 Cloverdale Road, Ottawa, Ontario K1M 0Y6, Canada. Contact: privacy@varduno.com.

When you accept these Terms or place an order that incorporates them, you enter into an agreement with that operator. If you act for an organization, you confirm that you are authorized to bind it. In that case, “you” includes the organization and, where relevant, its authorized users.

Our Privacy Policy explains personal-information handling. Acceptance of these Terms does not replace any separate consent required for optional tracking, promotional communications, or other processing.

2. The service

Varduno provides tools for equipment and resource planning, project collaboration, document processing, supplier requests and responses, and related AI-assisted functions. Available features, access limits, and usage allowances depend on the selected plan and any written order.

Varduno supports planning decisions. It does not certify equipment safety, suitability, availability, regulatory compliance, engineering calculations, or site conditions. You must verify relevant information with qualified personnel, manufacturers, suppliers, and applicable requirements before acting.

Unless separately agreed in writing, Varduno is not the equipment owner, rental supplier, employer, engineer, or party to a customer-supplier rental agreement. Requests, quotations, and planning outputs do not by themselves constitute a booking or equipment guarantee. You and the supplier are responsible for agreeing commercial terms and confirming bookings.

3. Accounts and authorized users

Provide accurate account and billing information, keep credentials secure, and maintain appropriate workspace permissions. You are responsible for activity you authorize and for promptly reporting suspected unauthorized use. Do not share an individual login where separate user access is required.

Use the service only if you have legal capacity to enter the agreement and authority to provide the information and instructions you submit.

4. Customer content and permissions

You retain your rights in content you supply. You grant Varduno permission to host, reproduce, process, transmit, and display that content as reasonably necessary to provide and secure the service, support your account, and carry out your instructions, subject to applicable law and the Privacy Policy.

You must have the rights and permissions needed to upload content, add contacts, invite users, and share information with suppliers or other recipients. Review outgoing requests and attachments before sending them. Organization administrators are responsible for assigning appropriate access.

Varduno and its licensors retain rights in the service, software, design, and other materials they provide. Subject to these Terms and your plan, you receive permission to use those materials for your legitimate use of the service. Third-party content remains subject to its applicable rights and terms.

5. AI and connected services

Built-in AI can generate inaccurate, incomplete, or unsuitable information. Review outputs before relying on them, particularly for costs, specifications, schedules, equipment selection, and safety. AI assistance does not replace professional judgment or required inspections and approvals.

You may authorize supported external AI clients or other integrations to access Varduno. Review the access requested and authorize only actions and disclosures you are entitled to permit. You remain responsible for your instructions and for reviewing consequential actions. Provider terms and your account settings apply to information received by that provider.

Your external AI subscription or usage charges are governed by your arrangement with that provider. Connecting a provider does not include or transfer a paid provider subscription to Varduno. Availability and compatibility may change. These Terms do not offer a resale subscription to ChatGPT, Claude, Cursor, or another AI provider.

6. Plans, fees, and payment

Paid services are offered only when a paid plan and functioning checkout or written order are available. The order or checkout identifies the selected features, price, currency, taxes, billing interval, and any applicable limits. Payments are processed through Stripe or another method expressly agreed in writing.

Monthly subscriptions are billed in advance and automatically renew each month until cancelled. Annual subscriptions, where offered, are billed in advance and automatically renew each year until cancelled. The billing interval and renewal price are disclosed before purchase.

You authorize recurring charges only where the recurring terms are disclosed and you agree to them. Price changes apply prospectively after reasonable advance notice and any notice or consent required by law. We will not retroactively change an already paid subscription period. Any overage charges or additional purchases require prior disclosure and authorization.

If a payment fails, we may notify you and restrict paid features while payment is resolved. Free or trial access, where offered, is governed by the conditions presented with that offer; a free offer does not authorize an undisclosed paid conversion.

7. Cancellation and refunds

You may cancel future renewals at any time through the billing controls, where available, or by contacting privacy@varduno.com. Cancel before your renewal date to avoid the next renewal charge. Cancellation takes effect at the end of the current paid period, and access continues until then. Except as required by law or expressly agreed otherwise, payments are not refunded or prorated for unused time. Please identify the subscription concerned when contacting us.

Nothing in these Terms limits a statutory cancellation, refund, or other non-waivable right. Closing an individual user account is not necessarily the same as cancelling an organization subscription; the cancellation process must identify the subscription concerned.

8. Acceptable use

Do not use Varduno to break the law, infringe rights, distribute malicious code, gain unauthorized access, bypass security or plan limits, or interfere with the service. Do not upload information you lack authority to use or instruct an integration to take unauthorized actions. Do not represent unverified planning or AI outputs as certified safety or engineering determinations.

9. Availability, suspension, and termination

We aim to maintain a useful and reliable service, but maintenance, failures, and third-party dependencies may interrupt access. No specific uptime commitment applies unless agreed separately in writing.

We may suspend access proportionately to address material breach, nonpayment, security risks, or legal requirements. Where practicable, we will explain the reason and allow an opportunity to resolve it. Immediate action may be necessary for urgent risks.

If we discontinue a paid service without your breach, we will provide reasonable notice and a proportionate refund for prepaid service we do not provide, subject to any more favourable mandatory rights.

Before ending service, arrange to export or otherwise obtain content you need. Contact us for assistance where an export is not available. Retention and deletion follow the Privacy Policy; cancellation does not imply immediate deletion of all records or backups.

10. Warranties and responsibility

To the extent permitted by law, the service is provided as available, without a promise that it will be uninterrupted, error-free, or suitable for every intended purpose. This does not exclude warranties or responsibilities that applicable law does not permit us to exclude.

11. Changes and governing law

We may revise these Terms prospectively, provide notice of material changes, and request renewed acceptance where required. Changes will not remove rights already accrued or override mandatory law.

Ontario law and applicable Canadian federal law govern this agreement. Subject to mandatory rights to use another forum, disputes may be brought before the courts of Ontario. Please contact us first so we can try to resolve a concern.

If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A separately signed agreement prevails over these Terms to the extent it expressly addresses the same issue differently. These Terms and your applicable order describe the agreement for the service, without excluding mandatory rights or remedies.
